Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and PosifyLK (“Company,” “we,” “us,” or “our”) concerning your access to and use of the Posify Point-of-Sale and Inventory Management System, including our mobile application, web dashboard, and all related services (collectively, the “Service”).

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

Posify is a cloud-based Point-of-Sale (POS) and Inventory Management System designed for retail businesses. Our Service includes:

• Point-of-sale transaction processing
• Inventory and stock management with FIFO batch tracking
• Multi-branch business management
• Customer relationship management
• Sales reporting and analytics
• Cash registry and financial tracking
• Returns and exchange processing
• Warranty management
• Supplier and purchase order management
• Team management with role-based access control
• Mobile application for on-the-go access

Account Creation

• You must provide accurate, complete, and current information during registration
• You must be at least 18 years old to create an account
• You may not create an account using false or misleading information
• One business entity may have only one primary account (with multiple branches)

Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must use two-step OTP verification for login security
• You must immediately notify us of any unauthorized use of your account
• You are responsible for all activities that occur under your account
• We reserve the right to disable accounts that violate these Terms

You agree to use the Service only for lawful purposes. You may:

• Process legitimate retail transactions for your business
• Manage your business inventory, customers, and team members
• Generate reports for your business operations
• Store business-related data within the Service
• Access the Service through authorized devices and applications

You may NOT use the Service to:

• Engage in any illegal, fraudulent, or deceptive activities
• Process transactions for illegal goods or services
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code
• Use automated scripts, bots, or scrapers to access the Service
• Transmit viruses, malware, or other harmful code
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to compete with us or create a competing product
• Store or transmit content that infringes intellectual property rights
• Harass, abuse, or harm other users or our staff

Fees

• The Service is offered with various pricing tiers
• All fees are quoted in Sri Lankan Rupees (LKR) unless otherwise specified
• Fees are non-refundable except as expressly stated in our Refund Policy

Payment Processing

• Payments are processed through secure third-party payment processors
• You authorize us to charge your payment method for applicable fees
• Failed payments may result in suspension of your account
• We reserve the right to change prices with 30 days' notice

Free Trial

We may offer a free trial period. Trial terms may vary and will be communicated at signup.

Your Data

You retain all ownership rights to the data you input into the Service (“Your Data”), including product information, customer data, transaction records, and business information. You grant us a limited license to use Your Data solely to provide and improve the Service.

Our Intellectual Property

The Service, including its design, code, features, documentation, trademarks, and logos, is owned by PosifyLK and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. This license does not include any right to modify, distribute, or create derivative works.

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be communicated in advance when possible
• We may modify, suspend, or discontinue features with reasonable notice
• We are not liable for any loss resulting from service interruptions
• We may release updates, bug fixes, and new features at our discretion

Termination by You

You may cancel and terminate your account at any time through your account settings or by contacting support. Upon termination, you will lose access to the Service.

Termination by Us

We may suspend or terminate your account if:

• You violate these Terms or any applicable laws
• Your payment fails and remains outstanding
• We reasonably believe your account poses a security risk
• Required by law or legal process

Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 30 days of termination. After 30 days, we may delete Your Data in accordance with our Privacy Policy.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSIFYLK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless PosifyLK and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

• These Terms are governed by the laws of Sri Lanka
• Any disputes shall be resolved through good-faith negotiation first
• If negotiation fails, disputes shall be submitted to binding arbitration in Colombo, Sri Lanka
• You waive any right to participate in class action lawsuits against us
• Claims must be brought within one (1) year of the cause of action arising

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent; we may assign them freely
• Notices: We may send notices via email to your registered address or through the Service
• Force Majeure: We are not liable for delays due to circumstances beyond our reasonable control

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last updated” date. For significant changes, we will provide at least 30 days' notice via email. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
